These Terms of Service (the "Terms") govern your access to and use of the Tovix platform, including our website, application, APIs, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.
If you are using the Services on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date at the top of this page.
Your continued use of the Services after any changes to these Terms constitutes acceptance of the updated Terms.
If you do not agree to the updated Terms, you may stop using the Services.
Accounts and access
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to promptly notify us of any unauthorized access or use of your account.
You must provide accurate information when creating or updating your account and keep such information current.
Acceptable use
You agree not to misuse the Services. For example, you must not attempt to interfere with the Services, access them using a method other than the interfaces and instructions we provide, or circumvent security or usage limits.
- Do not upload, transmit, or store unlawful content or content that infringes intellectual property rights.
- Do not probe, scan, or test the vulnerability of any system or network without authorization.
- Do not use the Services to develop or distribute malware, or to perform abusive or disruptive activities.
- Do not attempt to reverse engineer or extract source code from the Services, except to the extent permitted by law.
Customer content
You retain ownership of content you submit to the Services, including interaction transcripts, prompts, uploads, configurations, and other data ("Customer Content"). You grant Tovix a limited, non-exclusive right to process Customer Content solely to provide, secure, and improve the Services, consistent with applicable agreements and our privacy disclosures.
You represent and warrant that you have all rights necessary to provide Customer Content and that providing such Customer Content does not violate any law or contractual obligation.
We retain Customer Content only as necessary to provide the Services and in accordance with our Privacy Policy. Customer Content may be deleted after account termination or service discontinuation.
You are solely responsible for ensuring that your use of Customer Content and the Services complies with all applicable laws, regulations, and export control requirements. You must not use the Services in jurisdictions where such use would be prohibited.
Billing and payments
Certain features of the Services may require payment. Prices, credit pack details, and payment terms (including taxes) are presented at the time of purchase. You authorize us and our payment processors to charge your payment method for applicable fees.
Unless otherwise stated in a written agreement, fees are non-refundable except as required by law.
Disclaimers
The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Tovix disclaims all warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Outputs, analyses, and risk scans may be probabilistic and may contain errors. You are responsible for reviewing outputs and making decisions appropriate for your use case and compliance obligations.
The Services do not provide legal, regulatory, financial, or compliance advice, and you should not rely on them as such. You are responsible for obtaining appropriate professional advice for your specific circumstances.
Limitation of liability
To the maximum extent permitted by law, Tovix will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or relating to these Terms or the Services.
To the maximum extent permitted by law, Tovix’s total liability arising out of or relating to these Terms or the Services will not exceed the amounts paid by you to Tovix for the Services in the twelve (12) months preceding the event giving rise to the claim.
Termination
You may stop using the Services at any time. We may suspend or terminate your access to the Services if we reasonably believe you have violated these Terms or if we must do so to comply with law or protect the Services, users, or third parties.
Upon termination, your right to access the Services will cease. Sections that by their nature should survive termination will survive, including provisions regarding intellectual property, disclaimers, limitation of liability, and dispute provisions.
Governing law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
Venue / jurisdiction
Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in the State of Delaware, and the parties consent to personal jurisdiction in such courts.
